Investment Description

DLP Access Fund 1 LLC (the “Fund”) will invest substantially all of its assets in DLP Lending Fund, LLC (“DLP”) which is seeking to raise up to $150 million in capital. DLP is a private mortgage pool fund that lends short term, high yield capital, thus providing strong consistent and predictable returns. DLP provides its members with a preferred return of 10% and additional distributions to produce an overall annualized return of 11%+.

DLP Overview

DLP is a mortgage pool fund. DLP’s strategy is to produce attractive risk-adjusted returns by investing in real estate backed loans. These loans primarily consist of first position loans on single family homes and Multi-Family unit properties. All loans are made to real estate investors. The fund currently is lending primarily throughout the East Coast.

DLP Investment Strategy

DLP’s parent company focuses on investing both equity and debt in undervalued distressed real estate assets, with opportunities to add value. These assets are primarily single family homes and apartments — assets that provide the opportunity for consistent, solid income as a primary or secondary investment approach. The strategy has been tested, proven, and tweaked over the past decade and has been utilized to complete more than 1,000 real estate acquisitions. The DLP investment strategy falls into the category of Private Lending to Real Estate Investors.

Specifically, DLP provides real estate investors with capital, knowledge, and resources to assist them with purchasing and renovating distressed properties, and then either selling or refinancing out of the property, with a permanent source of financing. The majority of these loans are on single family homes, typically 6 months in duration, and provide capital for the purchase and renovation. They are first position loans and typically range between 50 and 65% of the repaired value (and 70-80% of the total cost), which means the borrower is investing significant capital into the property.

Mitigating Risk

DLP is focused on mitigating risk while attempting to generate high-yield returns. In order to produce high yields, without taking the significant principal risk, processes and controls need to be in place. Detailed below are some of the primary ways DLP mitigates risk:

  • Loan to Value Ratio

    When originating real estate loans, one of the most important metrics is the loan to value ratio. Traditionally, banks will not loan more than 80-90% of the value of a residential home to ensure the borrower has “skin in the game.” In the event of an economic shift where home prices drop, banks have a cushion if they need to foreclose on the property. The same is true for real estate investors. Leaving an equity cushion in the investment allows investors to account for unforeseen changes in the economy or the property, such as a higher than anticipated vacancy rates. DLP limits the LTV for third party borrowers to 65%. DLP also limits total borrowing to 80-85% of the cost of the property.

  • Cash Invested by borrower IE Loan to Cost

    Arguably the #1 determination of the success of a loan is the cash invested by the borrower. DLP believes strongly in the “old school” principles of lending; 20% down by the borrower drastically decreases the risk of default . On average DLP funds under 75% loan to cost; requiring the borrower to invest 25% of the purchase plus 25% of the renovation costs out of his/her pocket at the purchase of the property.

  • Title Insurance

    One of the risks in real estate investing is a “clouded” title. Investors want to be sure the title is free of any outstanding litigation or liens. When investing in private notes, it is important that to be in first position, so no other lenders have claim to the property before you. Working with a reputable title company and a partner who can help with all the administrative work can be beneficial if you do not have experience doing this yourself.

  • Escrow of Rehab Funds

    When DLP lends money to any borrowers all rehab funds are held in escrow and are only released after each stage of the renovation is complete.

  • Professional Project/Renovation Management

    DLP controls the renovation by employing professional project management and/or third party inspectors to oversee the renovation, ensuring the work is completed and that DLP investors are exposed to very little risk.

  • Strong Borrowers

    When DLP lends capital to investors, a thorough financial and credit analysis is performed. DLP focuses on lending to experienced, seasoned, and financially stable borrowers.

Why Class B and C Multi-Family?

Multifamily Investment Attributes

  • DLP primarily focus on Class B and C multi-family properties.
  • Class B and C refers to properties that are not “luxury” in quality.
  • Apartments have the lowest re-tenanting costs and typically have the lowest cost of debt and capital.
  • Apartment rents can adjust daily, weekly or monthly making them more reflective of changing market conditions.
  • Apartment fundamentals appear strong over the next five to seven years.

DLP focuses on these assets for a number of reasons

  • Cash Flow. Typically Class B and C properties sell at significantly higher cap rates and better cash-on-cash returns than Class A properties.
  • Supply and Demand. Class B or Class C products are not being built. Instead, there is currently a concentration of high-end, luxury apartments developments underway. In many markets, the average 1 bedroom rent is $1,500-$2,000 per month, while the average 1 bedroom rent in a Class B/C community ranges between $650 and $900 per month. In addition to little new inventory, there is a growing demand for affordable housing.
  • Declining market protection. DLP believe that in a recession people will still need a place to live and that many people living in Class A communities will be forced to move to Class B or C communities, so DLP anticipates occupancy will remain strong in a recession.

DLP Lending Fund, LLC Characteristics

December 2018 DLP Lending Fund, LLC Review

During December, the Lending Fund closed 27 loans compared to 36 loans closed in November. Total loan funding for the month was $9,056,610 compared to $11,340,525 in November. During December, 25 loans paid off for total paid off balances of $3,274,064.

  • Loan Tape

    As of the end of December, the loan tape consists of 233 loans for total balances of $77,625,781. The average interest rate of the portfolio was 10.76% as of the end of the month.

  • Loan Status

    Currently in the Lending Fund, 228 loans are current, 2 loans are 31-60 days past due, 1 loan is 61-90 days past due and 2 loans are over 91 days past due (we do not anticipate any losses relating to these loans).

  • Loan Performance

    The performance of the Lending Fund continues to outpace our targeted return. For the month of December, the Fund’s net monthly annualized return was 12.75%. Since inception, the Lending Fund has returned an annualized net return to investors of 14.27%.

  • Lending Capital

    During December, the Lending Fund raised $775,508 in new capital, with $446,347 in redemptions during the month.

Q1 2019 Lending Fund Outlook

Direct Lending Partners is excited to continue our momentum into the first quarter of 2019. Direct Lending Partners continues to grow & build upon relationships with experienced real estate investors, both single family & multi-family operators. In Q1, Direct Lending Partners expects to originate $100,000,000 in loans and lines of credit. Due to our continued increase in focus on funding loans for larger investors & more multi-family properties we are expecting our average interest rate our coupon to continue to decline; likely to about 10.5-10.75% by the end of Q1, but due to the modest increased utilization of our new lower cost leverage facility, we expect our yields to investors to remain very consistent to Q4.

The property that was purchase was a duplex on one parcel of land. The Borrower was able to successfully subdivide the property into two separate parcels, and sell each unit individually. The two units sold within two weeks of each other for an aggregate amount of $435,000.

Technology Fee

The Fund will pay CV Manager 0.75% (75 basis points) of the Fund capital per year for use of the website to present the details of DLP and the Fund as well as acting as an ongoing communications platform.

Administrative Expenses

The Fund will pay CV Manager $500 per investor per annum for arranging for the audit, tax preparation, income distributions and certain other expenses.

Organizational Expenses

The Fund will pay CV Manager a one time fee of $50,000 for organizational expenses (which may include legal, travel, accounting, filing, and other expenses) incurred in connection with the formation of the Fund.

Minimum Investment Amount

$50,000 minimum investment for the first 50 investors, after the first 50 investors, the next 25 investors must invest a minimum of $75,000 each and all subsequent investors must invest a minimum of $100,000, subject to the Manager’s discretion.
